Network License (NL)
License Description
Clients of IG Soft can license the right to operate the entire Poker Software System to support a multi-tiered online poker network. This business model offers revenue streams by allowing the NL license holder to charge other operators on the network for services. NL license holders can also operate their own poker rooms on the network to generate additional revenue streams.
Business Model
Upon the purchase of Network License from IGSoft NL licensee responsibilities are:
- To purchase network hardware and have it installed and hosted in an approved gaming jurisdiction. The cost of hardware varies depending on the size of the network the license holder plans to build initially. Additional hardware can be purchased later to reduce start-up costs. This year we have adapted our software to work with cloud hardware (cloud computing) solution thus saving on the purchase of the software.
- A Network Operator (NL holder) may have to obtain a gambling license, depending on their jurisdiction. However, every independent operator on the network (with their own poker room brand) is required to have a license in approved legal jurisdiction.
- The set-up and on-going operation of a network management team. This includes management staff, technical support for network license holders (poker rooms), collusion and fraud management, hosting, bandwidth, network promotions, management of the liabilities between operators merchant accounts (processing solutions), banking and other aspects of network management.
- The NL holder may run their own poker rooms or bring other network licenses on to their network.
- The license holder can run a sub-license program (franchises) as well.
Network License holder has complete control of their business. The NL holder can choose to have one or many poker rooms that are part of their network. These poker rooms could be their own brands or they could simply license network services to other clients who wish to have a poker room on the network.
IGSoft responsibilities are:
- To install the network software on the license holder's servers.
- To customize the front-end client software (a.k.a. franchise, white label) for the license holder and their clients.
- To provide on-going software maintenance and technical support.
- To provide on-going scheduled software updates.
- To provide initial training for new products.

Stand-Alone License (SAL)
License Description
An IGSoft client can license the rights to operate their own independent poker room. A Stand Alone License holder can host their poker room on one of IGSoft's existing poker networks (with no network access) or can purchase and operate on their own independent hardware system. The Stand-Alone License differs from the Independent Network License (described above) as it does not allow the sharing of network traffic.
Business Model
A. Stand Alone License configuration is similar to the Independent Network License with the exception that it may require lesser initial hardware set up.
B. We also have the capability to set up such licenses on IGSoft's hardware or on the hardware of one of IGSoft's Independent Network Licenses. With this option, the royalties' schedules will be higher, but starts up costs are reduced.
After the license holder purchases a license from IGSoft to run their own Stand Alone License their responsibilities are:
OPTION A
- To purchase network hardware and install it in one of the approved gaming jurisdictions. The cost of hardware varies from depending on the size of the network the license holder plans to build.
- To obtain online gambling license in an approved jurisdictions.
- To buy their own hardware for player data storage. Our terminology for this hardware is Independent Data Management or IDM.
- To set up poker room management. This includes management, customer support, collusion and fraud management, hosting, bandwidth, promotions, banking and other aspects of poker room management.
As a Stand Alone License holder, the license holder has complete control of their business. The license holder can always upgrade this license to an NL by paying the difference in the up-front fees.
IGSoft responsibilities are:
- To install the software on the license holder's servers.
- To customize the front-end client software (a.k.a. franchise, white label) for the license holder and their clients.
- To provide on-going software maintenance and technical support.
- To provide on-going scheduled software updates.
- To provide initial training for new products.
OPTION B
- To obtain online gambling license in an approved jurisdictions.
- To buy their own hardware for player data storage. Our terminology for this hardware is Independent Data Management or IDM.
- To set up poker room management. This includes management, customer support, collusion and fraud management, hosting, bandwidth, promotions, banking and other aspects of poker room management.
- With this option, the SAL would utilize existing network hardware this saving on the setup cost. The visibility would be se on stand alone. The advantage of this option is that SAL could join the network if they decide to do so or if SAL business model is not working for them. SAL would be required to pay for their share of hosting and bandwidth.
As a Stand Alone License holder, the license holder has complete control of their business. If the license holder decides to upgrade this license to an NL, the license holder would need to purchase their own hardware and pay the difference in up-front fees. IGSoft responsibilities are:
- To install the software on the license holder's (or IGSoft's) servers.
- To customize the front-end client software (a.k.a. franchise, white label) for the license holder and their clients.
- To provide on-going software maintenance and technical support.
- To provide on-going scheduled software updates.
- To provide initial training for new products.

Associate (Operator) License (AL) or White Label
License Description
A Associate (Operator) License (AL) also referred in industry as White Label has the rights to operate poker rooms on a network with shared visibility. AL holders have to purchase their own hardware for player data storage (IDM). This ensures that network license holders are not at risk for data theft or exposure from the AL holder (i.e. the network operator). Associate License Holders purchases network services from NL holders.
Business Model
The license holder (AL) purchases the license from Network License (NL).
Associate License holder responsibilities are:
- To obtain online gambling license.
- To set up poker room management. This includes management, customer support, collusion and fraud management, hosting, bandwidth, promotions, banking, and other aspects of poker room management.
- To share their players critical mass with the network.
- To participate in network promotions.
- To cover the liabilities between their poker rooms and other poker rooms on the network.
- To assist the network in monitoring collusion and fraud.
- To cover their portion of bandwidth and hosting.
- To purchase their IDM servers, provide bandwidth and hosting for those servers.
As a Associate License holder, the license holder has complete control of their business. However, the Associate License holder depends on the network to provide them with a critical mass of players, promotions, shared tables and tournaments. The Associate License holder can choose to have one or many poker room brands that are part of their own sub-network. These poker rooms may belong to them or to Associate Sub-License holders.
IGSoft responsibilities are:
- IGSoft has no direct responsibility to the Associate License holder.
- All communication regarding the software and IGSoft services will be done through the NL holder.
Pricing
One time licensing and set up fees will depend on the network that the license holder chooses to join. Pricing includes the development of one fully customized poker room.
Monthly Royalties: will depend on the network that the license holder will join.
At present, we have the following networks:
- Enet Poker Network. This network operates under Curacao license with majority of players coming from Europe and Latin America.

Sub-License or Franchise
License Description
An Sub-License holder or Franchise is a poker room that operates under one of the principal licenses. The degree of operational freedom that Network Sub-License holders have depends under which license they operate. The Associate Sub-License could operate under:
- Network License (NL)
- Stand-Alone License (SAL)
- Associate License (AL)
With the purchasing a sub-license from one of the above licenses the license holder undertakes the following responsibilities:
- To register their own domain name.
- To develop their own website.
- To market their own business.
Principal License holder (Licensor) responsibilities are:
- To provide all services needed for the sub-license holder to run its business, which might includes all services listed above. In some cases, depending of the agreement the sub-license holder makes with Licensor the sub-license holder may be in position to provide their own services to their clients. Good example would be where the sub-license holder would provide their own customer support to their clients. The extent of their involvement into day to day operation would be decided between the sub-license holder and licensor and reflected by the contract accordingly.

However, license holders (i.e. the NL, SAL, or Associate License holder) may resell poker room brands at a price of their own choosing.
Revenue share is subject to the agreement signed between the licensor and the sub-license holder. There are two ways revenue share may be calculated. One is based on the percentage of Net Gaming Revenue and other on percentage of profit. These pricing details are negotiated between the licensor and the sub-license holder.
Examples:
Net Gaming Revenue (NGR) is the amount of money the house wins from the game. In some cases, the licensor will subtract bonuses, promotional currency, coupons, charge backs and other free money given to players. The license holder would receive anywhere from 35% to 55% of NGR.
